Terms & Conditions for Thames Street LLC

1. Acceptance of Terms
By accessing or using the chatbot services provided by Thames Street LLC (“Thames Street,” Thames Strategy,” "we," "our," or "us"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Services Provided
We offer software-as-a-service (SaaS) chatbot solutions designed for use on congressional websites ("Services"). These Services are intended to facilitate constituent engagement and communication.

3. Eligibility
You represent and warrant that you are authorized to use these Services on behalf of a congressional office or affiliated entity.

4. License Grant
We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services solely for their intended purpose, subject to these Terms.

5. User Responsibilities
You agree to:

  • Provide accurate and current information.

  • Use the Services in compliance with applicable laws.

  • Not misuse the Services, including attempting to gain unauthorized access or interfere with system integrity.

6. Intellectual Property
All content, features, and functionality of the Services are the exclusive property of Thames Street LLC or its licensors. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

7. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

8. Pricing and Payment
Use of the Services is subject to the following fees:

  • A one-time build and implementation fee of $500, due prior to initial deployment of the chatbot.

  • A recurring monthly fee of $150 for continued service, reporting, and hosting, billed at the beginning of each billing cycle. Payment must be made in accordance with the invoicing terms provided by Thames Street LLC. Failure to pay may result in suspension or termination of Services.

9. Termination
We may suspend or terminate access to our Services at any time, without prior notice, if you violate these Terms or for any operational or security reason.

10. Disclaimers
The Services are provided on an "as-is" and "as-available" basis. We do not warrant that the Services will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we disclaim all warranties, express or implied.

11. Limitation of Liability
In no event shall Thames Street LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Services.

12. Indemnification
You agree to indemnify, defend, and hold harmless Thames Street LLC from any claims, liabilities, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of the Services constitutes acceptance of the revised Terms.
